Corporate Supporter Agreement

IT IS AGREED

1.	The Support

1.1	The Supporter agrees to support the Institute in the sum of £450 per annum (“the Support Fee”) due and payable on today’s date and its anniversaries.

1.2	The Support Fee may be varied for subsequent years by the Institute on its giving written notice to the Supporter, such not to take effect before the following anniversary date of this agreement.

2.	Nominated Corporate Members

2.1	The Supporter shall be entitled to nominate three suitable members (or such greater number as shall be agreed with the Institute) of its staff as Corporate Members of the Institute and they shall enjoy the rights and privileges from time to time applicable to that category of membership of the Institute.

2.2	In addition to the Support Fee the Supporter shall pay the sum of £50 per annum to the Institute by way of subscription in respect of each of the Corporate Members it nominates in excess of the three or such number as the Institute may from time to time set in respect of the ensuing year.

2.3	Upon determination of the Supporter’s support of the Institute or any Corporate Member ceasing to be employed by the Supporter he or she shall be deemed to have resigned from the Institute.

2.4	Upon the resignation of a Corporate Member for whatever reason other than determination of the support the Supporter shall be entitled to nominate a replacement.

2.5	Corporate Members will be subject to the Objects and Rules of the Institute.

3.	Determination

3.1	This Agreement shall be determined forthwith by either party giving written notice to the other if the other Party is in material breach of its obligations under this Agreement and does not remedy that breach (if capable of remedy) within 30 days after written notice of the nature of the breach is given or the other Party makes any voluntary arrangement or composition with its creditors or becomes the subject of any formal insolvency procedure.

3.2	On termination of this Agreement all rights and obligations of the Parties under it shall automatically terminate except for such rights of action or liabilities as shall have accrued prior to termination and any obligations which expressly or by implication are intended to come into or continue in force on or after termination.
